Venture Track — Terms of Service
Effective date: 14 October 2026 Last updated: 14 October 2026
These Terms of Service ("Terms") govern your access to and use of the Venture Track platform ("Service"), operated by Blank Cut Inc., a Delaware corporation ("Venture Track", "we", "us").
By accessing the Service, accepting an invitation, or clicking to accept these Terms, you agree to be bound by them. If you are agreeing on behalf of a firm or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
1. The Service
Venture Track is a subscription software platform that monitors public and licensed information sources for signals relevant to companies you track, and produces analysis of that information with citations to underlying sources.
1.1 What the Service is not
The Service does not provide investment advice. Nothing produced by the Service is a recommendation to buy, sell, or hold any security or interest in any company, and nothing in it should be treated as a substitute for your own due diligence or professional advice.
Venture Track is not a registered investment adviser, broker-dealer, or financial advisor in any jurisdiction. You are solely responsible for investment decisions you make.
1.2 About automated analysis
The Service uses automated systems, including large language models, to summarize and analyze source material. These systems can produce output that is incomplete, out of date, or incorrect, including output that appears well-supported but is not.
The Service is designed to attach source citations to factual claims so you can verify them. That design does not relieve you of the obligation to verify. You must independently confirm any material fact before relying on it. We make no warranty that any analysis, score, summary, or signal is accurate, complete, or fit for any particular decision.
2. Accounts and access
2.1 Eligibility and invitations
Access is currently by invitation. Invitations are issued to a specific email address, are single-use, and expire. You may not transfer an invitation.
2.2 Account security
You are responsible for all activity under your account and for maintaining the confidentiality of sign-in links and credentials. Sign-in links sent by email grant access to your account; treat them as you would a password. Notify us promptly at support@blankcut.com if you believe your account has been accessed without authorization.
2.3 Seats and users
Subscriptions are licensed per seat. A seat is assigned to one named individual and may not be shared between people. You may reassign a seat when someone leaves your organization. Adding users beyond your purchased seat count requires purchasing additional seats.
2.4 Your administrators
Users you designate as firm administrators can manage your organization's users, billing, and data, including deleting data and cancelling the subscription. You are responsible for who you grant that role to.
3. Your data
3.1 Ownership
You keep ownership of the data you upload, enter, or generate through the Service ("Customer Data"), subject to the licence you grant us in section 3.2. We claim no ownership of Customer Data.
3.2 Our licence
You grant us a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable licence to host, copy, store, process, transmit, display, analyze, modify, and create works derived from Customer Data, and otherwise use it, to provide, operate, maintain, and improve the Service and our other products and services. That includes developing, training, and evaluating our own machine-learning models (section 3.4) and creating Aggregated Data (section 3.3). Our service providers may exercise this licence on our behalf. The licence continues after your subscription ends, as section 7.4 describes. It does not let us sell Customer Data, or disclose it except as section 3.3 allows.
Customer Data from before this update. This licence covers only Customer Data submitted on or after the date you accept these Terms as updated on 14 October 2026. Customer Data submitted before that date stays under the terms that applied when it was submitted: we use it only to provide the Service to you and to maintain and improve the Service's security and reliability. We do not use it to train machine-learning models, and we do not create Aggregated Data from it.
3.3 Confidentiality, isolation, and Aggregated Data
Customer Data is confidential. We do not sell it, and we do not disclose it to other customers or to any other third party, except to service providers acting on our behalf, where required by law, in a business transfer, or at your direction, as the Privacy Policy describes. The Service is multi-tenant, and access controls restrict each organization's data to that organization's users.
We may create Aggregated Data: data derived from Customer Data covered by the licence in section 3.2, and from use of the Service, that is aggregated, de-identified, or both, so that it does not identify, and cannot reasonably be used to identify, you, your organization, your users, or any individual. Aggregated Data is not Customer Data. We own it, and we may use, curate, license, and sell it, including metadata such as statistics and trends about how the Service is used and what is tracked on it, for any purpose, during and after your subscription. We do not attempt to re-identify Aggregated Data, and we require anyone we license or sell it to not to attempt to re-identify it.
3.4 Model training
We may use Customer Data to develop, train, evaluate, and improve the machine-learning models used in our products, under the licence in section 3.2. That never includes Customer Data submitted before you accepted these Terms as updated on 14 October 2026. Those models are not used to disclose Customer Data that identifies you, your organization, or your users to other customers or third parties.
3.5 Your responsibilities for Customer Data
You represent that you have the rights necessary to provide any Customer Data you submit and to grant us the licence in section 3.2, and that doing so does not violate any confidentiality obligation, non-disclosure agreement, or applicable law. You are responsible for determining whether material non-public information may lawfully be uploaded.
4. Acceptable use
You may not:
- resell, sublicense, or provide the Service to third parties as a service;
- use the Service to make automated trading decisions without human review;
- reverse engineer the Service or extract its underlying models or data other than your own Customer Data;
- scrape, bulk-export, or systematically extract source content or signals except through features we provide;
- circumvent usage limits, seat limits, or access controls;
- upload malicious code, or use the Service to gain unauthorized access to any system;
- use the Service in violation of securities laws, including in furtherance of insider trading or market manipulation.
We may suspend access without notice where we reasonably believe continued access presents a security risk or a risk of legal liability.
5. Third-party sources
The Service aggregates information from third-party sources, including news publishers, academic databases, patent offices, regulatory filings, and market data providers. We do not control and are not responsible for the accuracy, availability, or licensing of third-party content. Source availability may change, and features that depend on a particular source may change or be withdrawn.
Links and citations to third-party materials are provided for verification and do not imply endorsement.
6. Fees, trials, and billing
6.1 Free trial
New organizations receive a 30-day free trial. No payment method is required to begin. At the end of the trial, access to paid features stops unless you have started a paid subscription. We may extend a trial at our discretion.
6.2 Subscription fees
Fees are per seat, billed monthly or annually in advance, in US dollars, at the rates shown at the time of purchase. Annual subscriptions are billed for the full term at the start of that term.
6.3 Payment
Payments are processed by our payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis until cancelled. We do not store your full payment card details.
6.4 Automatic renewal
Subscriptions renew automatically at the end of each billing period at the then-current rate, until cancelled. You may cancel at any time through the billing portal; cancellation takes effect at the end of the current period.
6.5 Seat changes
Adding seats mid-period is charged on a prorated basis. Reducing seats takes effect at the next renewal; we do not refund unused seats mid-period.
6.6 Usage limits
Each plan includes limits on tracked companies, watchlists, and analyses per month. Reaching a limit restricts the corresponding feature until the next period or an upgrade. We will not silently bill you for exceeding a limit.
6.7 Price changes
We may change prices with at least 30 days' notice before the change takes effect for you. Changes never apply to a term already paid for. If you do not accept a price change, you may cancel before it takes effect.
6.8 Failed payments
If a payment fails, we will retry and notify you. Access may be suspended if payment remains outstanding after the retry period.
6.9 Refunds and cancellation
You may cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period; you keep full access until then, and we do not otherwise prorate or refund a period already paid for, except as set out in this section.
- First payment. If you cancel within 14 days of your first paid charge, we refund that charge in full on request. This applies once per organization, to the first paid invoice only.
- Annual plans. If you cancel within 30 days of an annual charge, we refund it in full. After 30 days, we refund the unused whole months on a prorated basis.
- Service failure. If the Service is materially unavailable or non-functional for an extended period and we cannot resolve it, we will issue a prorated credit or refund for the affected period.
- Duplicate or erroneous charges. Refunded in full.
- Trials. A free trial requires no payment method, so there is nothing to refund if you decide not to continue.
Periods you have already used beyond the windows above, charges more than 12 months old, and accounts terminated for breach of these Terms are not refundable. Refunds outside these terms are at our discretion. To request one, email support@blankcut.com from the address on the account; we respond within three business days, and approved refunds go back to the original payment method, typically within 5–10 business days.
6.10 Taxes
Fees exclude taxes. You are responsible for applicable sales, use, VAT, or similar taxes, which may be added at checkout.
7. Term, suspension, and termination
7.1 Term
These Terms apply while you have an account.
7.2 Your termination
You may cancel at any time. Cancellation stops future billing; it does not retroactively refund the current period except as set out in section 6.9.
7.3 Our termination
We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within 15 days of notice, or immediately in the case of unlawful use, security risk, or non-payment after the retry period.
7.4 Effect of termination
On termination, your right to access the Service ends. You may export Customer Data during the subscription and for 30 days afterward. After that period we delete Customer Data in accordance with the Privacy Policy, except where retention is legally required.
Deletion of Customer Data, whether after termination or by you during your subscription, does not extend to Aggregated Data, or to machine-learning models and other improvements to our products made using Customer Data before it was deleted. We may keep using them, and the licence in section 3.2 continues for that purpose.
8. Service availability and support
We aim for high availability but do not commit to a specific uptime percentage under these Terms. Scheduled maintenance and third-party source outages may affect the Service. Any uptime commitment must be agreed in a separate written agreement.
Support is provided by email at support@blankcut.com during business hours. Plan tiers may include differing response expectations as described at purchase.
9. Intellectual property
The Service, including its software, interface, models (including models trained or improved under section 3.4), scoring methodology, and documentation, is owned by us and our licensors and is protected by intellectual property law. We also own Aggregated Data (section 3.3). Customer Data remains yours, as section 3.1 provides. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. No other rights are granted.
Feedback you provide may be used without restriction or obligation to you.
10. Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY OUTPUT, ANALYSIS, SIGNAL, SCORE, OR CITATION WILL BE ACCURATE OR COMPLETE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST INVESTMENT RETURNS, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY.
(b) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
(c) WITHOUT LIMITING THE ABOVE, WE ARE NOT LIABLE FOR ANY INVESTMENT DECISION MADE IN RELIANCE ON THE SERVICE, OR FOR ANY LOSS ARISING FROM INACCURATE, INCOMPLETE, OR OUT-OF-DATE INFORMATION.
These limits do not apply to liability that cannot be limited by law, or to either party's breach of confidentiality obligations.
12. Indemnification
You will defend and indemnify us against third-party claims arising from (a) Customer Data you submitted, including claims that it infringes rights or was submitted in breach of a confidentiality obligation, or (b) your use of the Service in violation of these Terms or applicable law.
13. Changes to these Terms
We may update these Terms. When the Service asks you to accept updated Terms, they take effect for you when you accept them. For a material change made without that step, we will give at least 30 days' notice by email or in-product before it takes effect, and continued use after the effective date constitutes acceptance. If you do not accept an update, your remedy is to cancel your subscription, and for a change made by notice, to cancel before it takes effect.
14. General
Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of the state and federal courts located in the State of Delaware.
Entire agreement. These Terms, the Privacy Policy, and any DPA form the entire agreement between the parties on this subject.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Severability. If any provision is unenforceable, the rest remains in effect.
No waiver. Failure to enforce a provision is not a waiver of it.
